TERMS AND CONDITIONS OF SALE

D'YRSAN SAS - Haberdashery specializing in supplies for the fashion industry

1. Scope of application

These General Terms and Conditions of Sale (hereinafter the "GTCS") govern, without restriction or reservation,
all sales concluded by D'YRSANSAS, with capital of 5,000 euros,
with registered office at 78 avenue des Champs-Élysées 75008 PARISregistered in the Paris Trade and Companies Register
under the number 897537015, (hereafter "the Seller"), to any professional buyer (hereafter "the Customer"),
as defined in the introductory article of the French Consumer Code.

The GCS apply to all orders for the sale of :

  • fabrics, sewing accessories and supplies for the fashion industry,
  • downloadable digital patterns in PDF format,
  • customized or white-label textile confections.

These General Terms and Conditions take precedence over any general terms and conditions of purchase or other documents issued by the Customer,
unless expressly accepted in writing by the Seller.

2. Product features

The products offered for sale are manufactured or assembled specifically according to the Customer's orders.
Descriptions, visuals and samples are provided for information only and are not contractually binding.
The customer remains solely responsible for the choice of products ordered and their suitability for his professional needs.

3. Controls

Validation of any order implies the Customer's full and unreserved acceptance of these GCS.
The Vendor reserves the right to refuse or suspend any order in the event of previous non-payment.

Orders for white-label confections are systematically subject to a prior, accepted quotation.

4. Prices - Financial conditions

Prices are expressed in euros before tax (excl. VAT). The Applicable VAT as well as any expenses
(transport, packaging, specific treatment) are communicated to the customer. before order confirmation.

The Vendor reserves the right to modify its prices at any time, it being understood that products are invoiced as follows
on the basis of the price list in force on the day of the order. No discount will be granted for early payment.

5. Terms of payment

Unless otherwise stipulated in writing, payment is due in cash at the time of order,
by credit card, bank transfer or any other secure method.

Failure to pay will automatically and without prior notice result in :

  • Immediate payment of all sums due,
  • Late payment interest at the legal rate plus 10 points,
  • A fixed indemnity of €40 for collection costs (in accordance with article L441-10 of the French Commercial Code).

6. Delivery - Transfer of risk

Delivery times are given for information only. The Vendor cannot be held responsible if delivery times are exceeded,
justify the cancellation of the order or the awarding of damages.

Delivery is deemed to have taken place when the products are made available to the Customer or to the designated carrier.
The risks are transferred to the customer from this date.

7. No right of withdrawal

The products marketed are made to order, customized or personalized within the meaning of article L221-28 3° of the French Consumer Code.
The right of withdrawal is therefore expressly excluded.
This exclusion also applies to digital patternsconsidered as digital goods supplied on an intangible medium,
downloaded immediately after payment (article L221-28 13°).

The Customer, in its professional capacity, expressly acknowledges that he does not benefit from legal consumer protection for this purpose.

8. Claims - Warranties

It is the customer's responsibility to check the apparent condition of the products upon delivery. All complaints must be made in writing
within 48 hours from the date of receipt, together with all relevant supporting documents.

The products sold are covered by the legal warranty against hidden defects provided for in articles 1641 to 1649 of the French Civil Code.
Any intervention by the customer on the products will result in forfeiture of all warranties.

9. Liability

The Vendor shall not be held liable for any indirect, consequential or immaterial damage resulting from the use of the products.
In any event, the Vendor's liability is strictly limited to the amount of the disputed order.

10. Intellectual property

PDF patterns, models, textile creations, visuals, logos, and more generally all distributed content
or produced by the Vendor, are protected by copyright, trademark law and intellectual property law.

Any reproduction, exploitation, distribution or use without prior written authorization is strictly prohibited.

12. Applicable law - Jurisdiction

These General Terms and Conditions are subject to French law.
In the event of litigation, jurisdiction is expressly attributed to the competent courts of the Vendor's registered office,
even in the event of multiple defendants or warranty claims.
